As Chartered Professionals, we can be appointed, and take legal responsibility, as Company Secretaries in all respects and can fill both Non-Executive Director and Advisory Board roles.
COMPANY SECRETARY & HEAD OF LEGAL POST(S)
Since the Companies Act 2006 came into effect, the Company Secretary post has become voluntary for private companies in the UK. However, all company legal work still has to be done (with, under the same Companies Act, some areas becoming more complicated!). If, therefore, your company does not have a Company Secretary, the Directors become totally responsible/liable for this work.
If a company does not comply with all regulations, there is the risk of various fines and penalties.
We can supply qualified Chartered Secretaries to take the role, and the work, of the Company Secretary off your hands.
VC Associates can supply candidates for NED roles from many professional backgrounds, including Chartered Secretaries, Chartered Accountants and members of the Association of International Accountants.
Chartered Secretaries, who have worked as Company Secretaries, have generally sat in board rooms for many years but are not always recognised for their knowledge and ability to be NEDs.
However, Andrew Kakabadse, Professor of Governance and Leadership at Henley Business School, who co-authored The Company Secretary: Building Trust Through Governance, wrote that:
“the next role for an ambitious company secretary would be senior independent director. They are almost chairmen in waiting. They would be a great Ned possibility.”
Venetia Carpenter and other Chartered Secretary associates of hers have taken NED roles.
VC Associates can also supply candidates for Advisory Board roles from the same pool of candidates above. Venetia Carpenter, for example, has an Advisory Board role for RXLive, an on-line pharmacy.
Please contact us to discuss any of the above further.
